We provide legal services necessary for overseas expansion, such as agency contracts, M&A, scheme evaluations for overseas expansion, risk control, and more. Services also available in English and Chinese.

Finance: We primarily offer advice and support regarding the investment contracts, equity finance, and design and issuing of stock options that startups need for practical work. We are among the best advisors within Japan thanks to our wealth of applied experience. We primarily offer counsel on capital policies; advice on investment contracts and shareholders agreement; counsel and issuing of common stock, classed stock, stock warrants, and warrant bonds; issuing of stock options; and counsel on or issuing of other incentive plans.

Contracts: We take an extremely practical and applied perspective in reviewing and proposing the contracts that startups and small and medium enterprises sign every day. In doing so, our goal is to mitigate future risks, and we focus on the possibility of future market listing or buyouts in our counsel. We primarily offer drafting and review of contracts and stipulations for basic transaction agreements, terms of service, agreements, agency contracts, non-disclosure agreements (NDAs), joint development agreements, outsourcing contracts, joint venture contracts, and more.

Corporate: We offer vital counsel on the Companies Act and Financial Instruments and Exchange Act that clients need to manage enterprises. Primary fields for counsel include establishment of articles of incorporation, share handling regulations, board regulations, and other types of internal regulations. This also includes establishment and operations of legal compliance structures, and proper conduct of general shareholders meetings or meetings of the board of directors. We are your source for legal advice on the establishment of internal management systems.

Public Relations: Using our network of law offices across Asian nations, we handle work such as local incorporation of enterprises, M&A, organizational restructuring, examinations of legal regulations, and more, with a primary focus on China and all ASEAN nations. We also offer contract negotiations, drafting, and review of all forms of contracts in English and Chinese.

Conflict Resolution: We provide high quality advocate work and try to find the best possible solution for the client, with a primary focus on debt collection and commercial transactions.

Business: We support your construction of new business systems through legal compliance checks and other procedures to eliminate worries.

Inheritance: Inheritance conflicts and disputes among heirs can drag on for extended periods, or grow incredibly complex. Direct negotiations among heirs also tend to become primarily emotional confrontations, making reasonable dispute resolution difficult in many cases.

Will Drafting: We recommend drafting a will in order to prevent disputes among your survivors over your personal assets. Disputes among survivors are particularly common in the following cases when a will is not drafted.

1. When no one qualifies as an heir
2. When a common-law spouse exists
3. When receiving caregiving from the spouse (daughter-in-law/son-in-law) of a child that has passed away
4. When no children exist and the individual wishes to pass down the home or homes in which the individual's spouse resides
5. When whereabouts of an heir or heirs are unknown
6. When the individual wishes to leave business property to a child who is to continue the family business
7. When an individual has a child with a previous spouse, and presently has a different spouse
8. When a divorced former spouse lives in a separate location
